§ 1 Scope of Application

§ 3 Prices and Payment
3.1 Prices are net in euros, plus VAT, packaging, shipping and transport costs.
3.2 Unless otherwise agreed, payment shall be made in advance.
3.3 Discounts or deductions require written agreement.
3.4 In case of late payment, default interest (§ 288 BGB) and reminder fees apply.
3.5 If doubts arise regarding the Customer’s solvency, the Supplier may demand advance payment or security.
§ 4 Delivery and Transfer of Risk
4.1 Delivery periods commence after receipt of payment.
4.2 Binding delivery dates require written confirmation.
4.3 Partial deliveries are permitted if reasonable for the Customer.
4.4 Shipment is made EXW (Incoterms 2020) from the Supplier’s place of business unless otherwise agreed.
4.5 The risk passes to the Customer upon transfer to the carrier (§ 447 BGB).
4.6 Services are deemed rendered upon completion of the agreed work.
4.7 In cases of force majeure (e.g. war, pandemics, shortages), the Supplier may postpone delivery or withdraw from the contract.
§ 5 Retention of Title and Usage Rights
5.1 Delivered goods remain the Supplier’s property until full payment is received.
5.2 In case of resale, the Customer assigns claims in the amount of the invoice value to the Supplier.
5.3 Digital content remains the intellectual property of the Supplier until full payment.
5.4 The Customer shall handle goods and content with care and disclose assignments upon request.
§ 6 Warranty and Liability
6.1 Statutory warranty rights (§§ 434 ff. BGB) apply.
6.2 Limitation period: 12 months from delivery/acceptance.
6.3 Liability:
- Unlimited for intent, gross negligence or personal injury.
- For simple negligence, only for essential contractual obligations, limited to foreseeable damages.
6.4 No liability for indirect, consequential or lost profit unless mandatory law provides otherwise.
6.5 The German Product Liability Act remains unaffected.
§ 7 Confidentiality and Data Protection
7.1 Both parties shall treat confidential information strictly confidentially.
7.2 The Supplier processes personal data in compliance with the GDPR and German data protection laws.
7.3 Processing is based on Art. 6 (1) (b) or (f) GDPR.
7.4 The Customer shall also process data in compliance with the GDPR.
7.5 Further details are provided in the Supplier’s Privacy Policy.
§ 8 Final Provisions
8.1 German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
8.2 Place of performance and jurisdiction is the Supplier’s registered office; however, the Supplier may also sue at the Customer’s place of business.
8.3 If any provision is invalid, the remainder shall remain in effect.
8.4 In case of discrepancies, the German version shall prevail.
B2B Terms-Annex I
Product Characteristics and Warranty Disclaimer
This Annex forms an integral part of NIFLA.IMA’s General Terms and Conditions (GTC) and defines the characteristics of NIFLA.IMA products as well as the circumstances under which warranty claims are excluded or limited.
1. Handcrafted Nature
1.1 All NIFLA.IMA products are handcrafted. Minor variations in color, shading, texture, shape, or grain are inherent to the process.
1.2 Each item is unique and represents genuine craftsmanship; such variations do not constitute a defect under § 434 BGB.
2. Aesthetic Features of Natural Stone
2.1 Products made from natural materials vary naturally in appearance.
2.2 Differences between samples or images and the delivered product are material-related and not grounds for complaint.
2.3 Natural veins, inclusions, cavities, or filled areas confirm authenticity and do not justify claims.
2.4 Micropores or natural cracks are not considered defects.
2.5 Porosity exceeding 1.5–2 mm may be filled upon request during the quotation phase.
3. Marble Surfaces
3.1 Polished surfaces are supplied with a slight chamfer unless otherwise agreed.
3.2 Brushed or honed finishes result in a matte and aged appearance. Minor chips or irregularities are process-related and not defects.
4. Technical Specifications
4.1 Natural stone is porous and may absorb liquids. Protective treatments must be explicitly requested prior to production.
4.2 Slip-resistant finishes must be specified during quotation and will result in a rougher, matte texture.
4.3 Dimensional tolerance: ± 2 mm. Inlays consist of a 1 cm decorative surface bonded to a 1 cm structural base.
5. Wood and Resin Products
5.1 The following are natural or process-related characteristics and not covered by warranty:
(a) Pigmentation or color variations due to wood structure,
(b) natural veins, holes, bark inclusions, or discolorations,
(c) color tone changes due to environment or finishing materials,
(d) slight resin color differences due to hardeners or catalysts.
6. Material Behaviour Over Time
6.1 NIFLA.IMA products made from natural materials may change over time due to environmental factors; such changes are not considered defects.
6.2 Cracks or splits in solid wood are natural and part of the material’s authenticity.
7. Care and Maintenance
7.1 For outdoor use, semi-annual maintenance and protective covers are recommended.
7.2 Brass inlays require regular care; metal polish must not come into contact with marble surfaces.
7.3 Care instructions are recommendations and do not constitute a warranty.
7.4 NIFLA.IMA assumes no liability for wear, improper care, or lack of maintenance.
8. Final Approval
8.1 Prior to dispatch, photos of inspected products are provided for customer approval.
8.2 Once approved, no further changes, claims, or complaints are accepted.

Claim Instructions –
Please read upon delivery
To ensure that we can assist you in the event of a complaint, please follow these steps immediately after receiving your delivery – even if everything appears to be in order:
1. ACT QUICKLY
- Please report any complaints within 3 days of delivery.
- Unfortunately, we cannot accept claims submitted after this period, even if the box or crate remains unopened.
2. DOCUMENT EVERYTHING
- Record a video while unpacking your order – always, immediately upon receipt.
- Take photos of any damaged items while they are still in their original packaging, if something is not as it should be.
3. PLEASE NOTE
- Complaints can only be processed in accordance with our Terms and Conditions.
